Terms of Use

These Terms of Use ("Terms") are an agreement between you and YATCO, LLC ("YATCO", "we", "us"), 700 W Hillsboro Blvd, Suite #4-201, Deerfield Beach, FL 33441, USA. They govern your use of the Yathop mobile app, the yathop.com website, and the features, content, and services offered through them (together, "Yathop"). By creating an account or using Yathop you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Yathop.

YATCO's other services have their own agreements. The YATCO SaaS Subscriber Agreement governs YATCO BOSS and YATCO's services for brokers and professional members, and yatco.com has its own terms. Those agreements, not these Terms, apply to those services.

1. Who can use Yathop

• You must be at least 13 years old to use Yathop.
• You must be at least 18, or the age of majority where you live, to buy event tickets.
• If you use Yathop on behalf of a company or organisation, you confirm that you are authorised to bind it to these Terms.
• You may not use Yathop if you are barred from doing so under the laws of the United States or the country where you live.

2. Your account

Keep the information on your account accurate and keep your sign-in details private. You are responsible for everything that happens under your account, so tell us at support@yathop.com as soon as you suspect unauthorised use. One person, one account. If you sign in with Apple, Google, or LinkedIn, that provider's terms also apply to the sign-in itself.

3. Yacht listings and boat-show information

Yacht listings in Yathop are supplied by YATCO's listing platform (YATCO BOSS), where professional brokers, dealers, and builders list vessels, and by other industry sources. Boat-show and event details come from show organisers. All of it is provided for your information only.

• A listing is not an offer to sell or charter, and Yathop is not a broker, surveyor, valuer, or adviser.
• We do not guarantee that a listing is accurate, complete, current, or still available, or that a price, specification, or photo is correct. Confirm everything with the listing broker before relying on it.
• Any viewing, purchase, charter, or other transaction is between you and the broker, seller, or organiser. YATCO is not a party to it and has no responsibility for it.
• Show dates, exhibitors, and event details can change without notice. Check with the organiser before you travel.

4. Event tickets

Some events in Yathop sell tickets. The price, any fees, and the refund and cancellation terms for a ticket are shown before you pay. Payment is processed by Stripe under Stripe's terms; we never see or store your card details. A ticket admits the named holder to the named event, may be checked by QR code at the door, and is not transferable unless the event says otherwise. If an event is cancelled or materially changed, refunds are handled according to the terms shown at purchase and applicable law.

5. Your content

You keep ownership of what you put into Yathop: your profile, photos, messages, and the descriptions of boats you own. So that we can run Yathop, you grant YATCO a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and transmit that content as needed to provide the service (for example, showing your name and photo in an event attendee list, or delivering a message you send). This licence ends when you delete the content or your account, except where the content has already been shared with other users or we must keep it to comply with law.

You are responsible for your content. Only upload what you have the right to upload, and keep other people's personal data out of it unless they have agreed. We may remove content that breaks these Terms.

6. Acceptable use

Do not:

• use Yathop for anything unlawful, or to harass, threaten, deceive, or spam other users;
• impersonate anyone, misrepresent your role or affiliation, or create accounts for others;
• scrape, crawl, bulk-download, or otherwise extract listings, photos, or other data from Yathop, or use it to build a competing database or service;
• use listing content for any commercial purpose without permission from the rights holder;
• reverse-engineer, decompile, or tamper with the app, probe or circumvent its security, or interfere with our servers;
• upload malware, or content that infringes someone's rights or is obscene, hateful, or defamatory;
• resell tickets, forge QR codes, or check in to events you have not registered for.

7. Intellectual property

Yathop, YATCO, and YATCO BOSS, and the related logos, are trademarks of YATCO, LLC. The app, the website, their design and software, and the compilation of listing data are owned by YATCO or its licensors and are protected by copyright, trademark, and other laws. Listing photos and descriptions belong to the brokers, builders, photographers, and organisers who supplied them.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the app on a device you own or control, and to use yathop.com, for your own non-commercial purposes in line with these Terms. All other rights are reserved.

8. Third-party services

Yathop relies on services from other companies: Apple, Google, and LinkedIn for sign-in; Stripe for payments; Apple Maps and Google Maps for maps; Apple, Google, and Expo for notifications. Their terms and privacy policies apply to their part of the service. Yathop may also link to brokers', builders', and organisers' websites. We do not control those sites and are not responsible for their content or practices.

9. App stores

If you downloaded Yathop from the Apple App Store, you acknowledge that these Terms are between you and YATCO, not Apple; that Apple has no obligation to provide maintenance or support for the app; that Apple is not responsible for the app, its content, any product warranty, or any claim relating to the app (including product liability, legal or regulatory compliance, consumer protection, and intellectual-property claims); that you will comply with the App Store Terms of Service; and that Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You confirm that you are not located in a country subject to a US government embargo and are not on any US government list of prohibited or restricted parties. Equivalent terms apply if you downloaded Yathop from Google Play.

10. Notifications and location

Push notifications and location access are optional. You control both in the app and in your device settings, and can turn them off at any time. See the Privacy Policy for what we do with them.

11. Ending your use of Yathop

You can delete your account at any time in the app (Account → Privacy & Security → Delete Account) or as described at yathop.com/delete-account. We may suspend or close your account if you break these Terms, if we are required to by law, or if we discontinue Yathop, giving you reasonable notice where we can. Sections 3, 5, 7, and 12 to 17 survive termination.

12. Disclaimers

Yathop is provided "as is" and "as available". To the fullest extent permitted by law, YATCO disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Yathop will be uninterrupted, error-free, or secure, or that listings, prices, or event information are accurate or current. You use Yathop, and act on anything shown in it, at your own risk.

13. Limitation of liability

To the fullest extent permitted by law, YATCO and its members, managers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or relating to Yathop or these Terms, however caused. Our total liability for all claims relating to Yathop is limited to the greater of the amount you paid us through Yathop in the 12 months before the claim arose and USD 100. Some jurisdictions do not allow some of these limitations, so they may not all apply to you; nothing in these Terms removes rights you have as a consumer that cannot be waived by contract.

14. Indemnity

You will defend, indemnify, and hold harmless YATCO and its members, managers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from your content, your use of Yathop, or your breach of these Terms or of any law or third-party right.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules.

Talk to us first. If you have a dispute with us, email info@yatco.com with a copy to support@yathop.com, describing the problem and what you would like us to do. We will try to resolve it informally within 30 days.

Binding arbitration. If we cannot, any dispute, claim, or controversy arising out of or relating to Yathop or these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, rather than in court. The Federal Arbitration Act governs this section. Either party may instead bring an individual claim in small-claims court, and either party may seek an injunction in court to protect intellectual-property rights.

Class-action waiver. You and YATCO agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. If this waiver is found unenforceable for a particular claim, that claim will be heard in court, not in arbitration.

Courts. Any dispute that is not subject to arbitration will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to their jurisdiction.

If you live in the European Union or the United Kingdom, nothing in this section deprives you of the protection of mandatory consumer-protection law in your country of residence, or of your right to bring a claim in the courts of that country.

16. Changes to these Terms

We may update these Terms from time to time. We will post the new version here with an updated date and, for material changes, tell you in the app or by email before they take effect. Using Yathop after a change takes effect means you accept the updated Terms.

17. General

These Terms and the Privacy Policy are the entire agreement between you and YATCO about Yathop. If any part is found unenforceable, the rest remains in effect. Our not enforcing a term is not a waiver of it. You may not transfer these Terms; we may transfer them to an affiliate or to a successor to Yathop. We may send notices to the email address on your account.
